This End User License Agreement (the "Agreement") is between you and Ghost Labs, LLC, an Ohio limited liability company, 25935 Detroit Rd, PMB 171, Westlake, OH 44145 ("Ghost Labs," "we," "us").
1. The agreement
1.1 What it covers: every Ghost Labs product, now and later. This Agreement covers all software, apps, websites, online services, connectors, plugins, skills, extensions and updates that Ghost Labs makes available now or in the future, on any device or platform, whether free or paid, and however you get them (directly, through an app store, or through another company's platform) (each a "Product," together the "Products"). Today that includes Ravenwood and Ravenwood Cloud (ravenwood.app, its workspaces, the web app, the Mac, iPhone, iPad, Android and Windows apps, the AI connector and the Claude plugin and skill), Maven BabelFish, and Tidy Task and Loot. A product Ghost Labs releases later is covered from the day you first use it, without a new agreement.
1.2 Product terms. A Product may come with its own additional terms, plan limits or policies ("Product Terms"), such as the product terms in Section 11 and the plan limits a Product shows. Product Terms are part of this Agreement for that Product. Ghost Labs' one Privacy Policy and one Refund and Cancellation Policy cover every Product. Services work for a client is governed by the signed agreement or statement of work for it, and this Agreement covers anything that doesn't. If they conflict with this Agreement, the Product Terms control for that Product, except that nothing in any Product Terms reduces the protections for Ghost Labs in Sections 5 through 9 unless it says so expressly.
1.3 Acceptance. By creating an account, signing in, downloading, installing or using any Product, you agree to this Agreement and to that Product's Product Terms. If you don't agree, don't use the Products.
1.4 For an organization. If you use a Product for a company or other organization, you agree for it and confirm you have authority to bind it; "you" then means both you and it.
1.5 Eligibility. You must be old enough to form a binding contract where you live, and not barred from using software like the Products under the laws that apply to you.
2. License
2.1 What you get. Ghost Labs grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use each Product you're entitled to, for your own internal purposes, within your plan's limits, while this Agreement is in effect. The Products are licensed, not sold. Ghost Labs and its licensors keep all rights, title and interest in the Products, including their code, design, names and marks; everything not expressly granted is reserved.
2.2 What you may not do. You may not, and may not let anyone else:
- copy, modify, translate or make derivative works of a Product, except as the law expressly allows despite this limit;
- reverse engineer, decompile or disassemble it, or try to find its source code;
- sell, rent, lease, lend, resell, sublicense or offer it as a service to others;
- share, sell or get around a license key, subscription or activation;
- remove or change any notice of ownership;
- get around plan limits, security, rate limits or access controls, or probe, scan or test its vulnerability without our written permission;
- use it to break any law, infringe anyone's rights, send spam or malware, or store or share content you have no right to;
- interfere with or overload a Product, or reach another customer's account, workspace or data;
- use it to build a competing product, or scrape it with automated tools other than the AI connections it provides.
2.3 Updates. We may update, change or stop any Product or feature at any time. Updates are covered by this Agreement. Some may install automatically.
3. Your content and AI
3.1 Your content stays yours. Boards, items, notes, files, data, connected accounts and everything else you or your AI put into a Product ("Your Content") belong to you. You give Ghost Labs a worldwide, royalty-free license to host, store, copy, process, transmit and display Your Content only as needed to run, secure and support the Products for you, and as the law requires.
3.2 You are responsible for it. You confirm you have the rights to Your Content and to any data sources you connect, and that it breaks no law or anyone's rights. Ghost Labs doesn't review Your Content and isn't responsible for it.
3.3 Keep your own copies. You are responsible for keeping backups of anything you can't afford to lose. Ghost Labs isn't responsible for lost, damaged, wrong or deleted content or data, including when an account, workspace or license is deleted or ends.
3.4 AI tools and other services you connect. Some Products let AI assistants and other third-party tools and services (such as Claude, ChatGPT, GitHub Copilot, Gemini, ad platforms or CRMs) read or change your data on your behalf. You choose and approve each one, and they act with your rights. They are provided by other companies under their own terms; Ghost Labs doesn't control them and isn't responsible for what they do or for their availability, accuracy or changes.
3.5 AI output and reports. Text, plans, code, numbers, reports and other output a Product or an AI produces may be wrong, incomplete, unsafe or someone else's work. Review it before you rely on or act on it; you use it at your own risk. No Product replaces your own judgment before a build, deploy, payment, filing, budget or business decision.
3.6 Feedback. If you send ideas, bug reports or feature requests, we may use them freely without paying or crediting you.
3.7 Passphrases and encryption keys you set. This can't be undone. Some Products let you protect your content with a passphrase, recovery key or encryption key of your own (such as Ravenwood Cloud's workspace lock). Ghost Labs never has that passphrase or key and can't see, reset or recover it. If you lose or forget it, and lose any recovery key too, the content it protects can never be opened again, by you, by Ghost Labs or by anyone else. Ghost Labs can't undo that, and has no obligation to try to recover the content by any means. You alone are responsible for keeping your passphrase and recovery key safe, for choosing who knows them, and for anything someone who knows them does. Ghost Labs has no liability for content that can't be opened because a passphrase or key was lost, forgotten, changed or shared.
4. Plans and payment
4.1 Plans and licenses. A Product may be free, sold as a subscription or license, or both, with the limits shown when you choose. We may change plans, limits and prices; a price change for a paid plan takes effect at your next renewal after notice.
4.2 Payment. Paid plans bill in advance and subscriptions renew automatically until cancelled. On the web, our payment processor (such as Stripe) handles payment; in an app store, Apple, Google or that store may. Taxes are extra unless shown otherwise. Refunds follow the Product's refund policy and, for store purchases, the store's rules.
4.3 Cancelling. You can cancel a subscription at any time; it runs to the end of the period you paid for. Deleting an account or workspace that pays may cancel its plan at once, with no refund, as that Product's terms say.
4.4 Free, beta and granted access. Free plans, trials, previews, betas and complimentary licenses are provided with no commitment and may change or end at any time.
5. No warranties
5.1 As is. TO THE FULLEST EXTENT THE LAW ALLOWS, EVERY PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. GHOST LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
5.2 Bugs and outages. GHOST LABS DOES NOT WARRANT THAT ANY PRODUCT WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; THAT BUGS OR DEFECTS WILL BE FIXED; THAT IT WILL WORK WITH ANY OTHER SOFTWARE, DEVICE, AI TOOL OR SERVICE; THAT ANY CONTENT OR DATA WILL BE KEPT, BACKED UP OR RECOVERABLE; OR THAT IT IS FREE OF VIRUSES OR HARMFUL COMPONENTS. NO ADVICE OR INFORMATION FROM GHOST LABS CREATES ANY WARRANTY.
5.3 Your risk. You use every Product, and its reminders, due dates, reports, numbers, Checklist steps, AI connections and AI output, at your own risk. A reminder that doesn't arrive, a renewal or deadline that is missed, a report that is wrong, a step that is wrong, or data an AI changes is your responsibility to catch.
5.4 Where the law requires more. Some places don't allow some of these disclaimers. Where so, the disclaimer applies to the fullest extent allowed, and any warranty the law requires lasts only as long as the law requires.
6. Limit on liability
6.1 No indirect damages. TO THE FULLEST EXTENT THE LAW ALLOWS, GHOST LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR CONTENT, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THIS AGREEMENT OR ANY PRODUCT, INCLUDING FROM BUGS, ERRORS, OUTAGES, SECURITY INCIDENTS, MISSED REMINDERS OR DEADLINES, OR ANYTHING AN AI TOOL OR OTHER THIRD PARTY DOES, EVEN IF GHOST LABS WAS TOLD THEY WERE POSSIBLE.
6.2 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, GHOST LABS' TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID GHOST LABS FOR THE PRODUCT THE CLAIM IS ABOUT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
6.3 All theories. These limits apply however the claim is framed (contract, tort including negligence, strict liability, statute or otherwise), even if a remedy fails of its essential purpose.
6.4 What the limits don't cover. Nothing in this Agreement limits liability that the law doesn't allow to be limited, such as liability for fraud, gross negligence or willful misconduct, or rights consumer laws give you that can't be waived.
7. No personal liability
7.1 Only the company. This Agreement is with Ghost Labs, LLC alone. Ghost Labs' members, managers, officers, employees, contractors, agents and licensors ("Ghost Labs People") are not parties to it and have no personal obligation or liability under it or for the Products.
7.2 Claims against the company only. To the fullest extent the law allows, you agree to bring any claim arising from or related to this Agreement or the Products only against Ghost Labs, LLC, and not against any Ghost Labs Person personally, and to seek payment only from Ghost Labs, LLC's assets. Ghost Labs People may rely on and enforce this Section.
7.3 Same protections. Every disclaimer and limit in Sections 5, 6 and 9 also protects Ghost Labs People.
8. You cover us
To the fullest extent the law allows, you will defend, indemnify and hold harmless Ghost Labs and Ghost Labs People from any claim, demand, loss, damage, fine, cost or expense (including reasonable attorneys' fees) brought by a third party and arising from: Your Content; your use or misuse of the Products; anything an AI tool or other service you connected did with your access; your breach of this Agreement; or your violation of any law or anyone's rights. Ghost Labs may take control of the defense of any such claim at your expense, and you won't settle one without our written consent.
9. Disputes
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO A CLASS ACTION.
9.1 Talk to us first. Before filing any claim, you agree to email contact@ghost-labs.com with a description of the problem and give us 60 days to try to resolve it informally.
9.2 Individual arbitration. Any dispute, claim or controversy arising from or relating to this Agreement or the Products that isn't resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules if you use the Products for personal use, or its Commercial Arbitration Rules otherwise, before one arbitrator, in Cleveland (Cuyahoga County), Ohio, or by video. For a consumer claim, fees are paid as the AAA's consumer rules require. The arbitrator decides all questions, including whether a claim must be arbitrated. Judgment on the award may be entered in any court with jurisdiction. Either side may instead bring an individual claim in small-claims court if it qualifies.
9.3 No class actions. You and Ghost Labs may bring claims only individually, never as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine claims or award relief to anyone but the individual party. If this Section 9.3 is found unenforceable for a claim, that claim goes to court, not arbitration, and the rest of Section 9 still applies.
9.4 No jury. If any claim goes to court, you and Ghost Labs waive any right to a jury trial.
9.5 One-year limit. To the fullest extent the law allows, any claim arising from or related to this Agreement or the Products must be filed within one year after it arose, or it is permanently barred.
9.6 Governing law and courts. Ohio law governs this Agreement, without regard to its conflict-of-law rules, and the Federal Arbitration Act governs Section 9. Subject to Section 9, the state and federal courts in Cuyahoga County, Ohio have exclusive jurisdiction, and you consent to them. The UN Convention on Contracts for the International Sale of Goods doesn't apply.
9.7 Opting out. You may opt out of arbitration by emailing contact@ghost-labs.com within 30 days after you first accept this Agreement, with your name, the account email and a statement that you opt out.
9.8 Mass filings. If 25 or more similar claims are filed against Ghost Labs by or with the help of the same law firm or organization, or by people acting together, within 180 days ("Mass Filing"), they will be handled in batches: the AAA will administer them in groups of up to 100 claims, each group decided by one arbitrator in one proceeding, with one set of filing and administrative fees per group, and the next group begins only when the one before it ends. The AAA's Mass Arbitration Supplementary Rules apply to the extent they don't conflict with this Section. Statutes of limitation are paused for a claim while it waits for its group. If a court decides this Section 9.8 can't be enforced for a Mass Filing, those claims go to court, not arbitration, and the rest of Section 9 still applies.
9.9 Fees in a Mass Filing. No arbitration fees are owed for any claim in a Mass Filing until its group starts. Each side pays its own attorneys' fees unless the law or the AAA's rules award them.
10. General terms
10.1 Ending this Agreement. You may stop using the Products at any time. Ghost Labs may suspend or end your access to any Product, with or without notice, if you break this Agreement, if the law requires it, to protect the Products or other users, or if we stop offering that Product. When it ends, your license ends, and Sections 3, 5 through 10 and any payment owed survive.
10.2 Changes. We may change this Agreement. We'll post the new version with its date and, for material changes, tell you through the Product or by email. Continuing to use a Product after a change takes effect means you accept it. A change doesn't apply to a dispute already filed.
10.3 Apple App Store. If you got a Product from Apple's App Store: this Agreement is between you and Ghost Labs only, not Apple, and Ghost Labs, not Apple, is responsible for the Product and its content. Your license is limited to Apple-branded devices you own or control, as the App Store's Usage Rules allow. Apple has no duty to provide maintenance or support. If the Product fails a warranty that applies, you may notify Apple for a refund of its purchase price, and to the fullest extent the law allows Apple has no other warranty obligation. Apple isn't responsible for any claim about the Product, including product liability, legal or regulatory, consumer-protection, or intellectual-property claims; Ghost Labs handles those to the extent this Agreement requires. You confirm you aren't in a country under a US embargo or designated as a "terrorist supporting" country, and aren't on any US list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you. Google Play and other stores' terms apply in the same way to purchases there.
10.4 Export and sanctions. You'll follow all US and other export-control and sanctions laws that apply to your use of the Products.
10.5 Force majeure. Ghost Labs isn't liable for any delay or failure caused by events beyond its reasonable control, including outages of hosting, cloud, AI, payment or network providers, attacks, natural disasters, labor disputes or government action.
10.6 The rest. This Agreement, with the documents it names, is the entire agreement between you and Ghost Labs about the Products and replaces any earlier one. If any part is unenforceable, it is limited to the minimum extent necessary and the rest stays in effect. Our not enforcing a part isn't a waiver. You may not assign this Agreement without our written consent; we may assign it, including in a merger or sale. There are no third-party beneficiaries except Ghost Labs People (Section 7) and Apple (Section 10.3). Headings are for convenience only. The English version controls.

11. Product terms
11.1 Tidy Task & Loot. Tidy Task & Loot is set up and managed by a parent or legal guardian for use within their own household. By creating a parent account, you confirm you are at least 18, that you are a parent or guardian of the children whose profiles you create, and that you consent for them to their use of the App as this Agreement and the Privacy Policy describe. You are responsible for supervising your household's use of it, including the chores you assign, the photos captured as proof and the rewards in your Loot Shop. Loot points are an in-app tally only: they have no monetary value and can't be exchanged for cash, and any real-world reward you offer is between you and your family.
11.2 Ravenwood and Ravenwood Cloud.
- Accounts. You sign in with an account from a provider we support, such as Google, Microsoft, GitHub or Apple. Keep it secure: anyone who can sign in to it can sign in to Ravenwood as you. Tell us at once if you think someone else is using it.
- Workspaces. A workspace's owners decide who is in it and what plan it is on, can export everything in it as JSON or Markdown at any time, and can delete it. A deleted workspace stops working at once and can be restored for 7 days; then it and its content are erased.
- Plans. Free is free. Pro and Team are subscriptions at the prices shown when you subscribe, billed monthly or yearly in advance, renewing automatically until cancelled. Team is billed per person, with a minimum of 3. We'll tell owners at least 30 days before a price change applies to their next renewal. Deleting a workspace paid for on the web cancels its subscription at once, with no refund; an App Store or Google Play subscription is cancelled there.
- Suspension. We may suspend a workspace that breaks Section 2.2. A suspended workspace is closed but not deleted, and its owners can contact us.
- Notice. If we remove something a paid plan depends on, we'll tell owners first. If we ever stop offering Ravenwood Cloud, we'll give at least 30 days' notice so you can export your content.
