These Terms of Service ("Terms") form a binding agreement between you and Ghost Labs, LLC ("Ghost Labs," "we," "us," or "our") governing your use of the Tidy Task & Loot mobile application and related services (the "App"). By installing or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. License
Subject to these Terms, Ghost Labs grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for your personal, non-commercial use. All rights not expressly granted are reserved.
2. Apple and Google end user license terms
If you obtained the App through the Apple App Store, your use is also subject to Apple's standard end user license agreement (EULA), the relevant terms of which are incorporated by reference. If you obtained the App through Google Play, your use is also subject to the Google Play Terms of Service. In the event of a conflict between those terms and these Terms, these Terms govern except to the extent prohibited by the App Store or Google Play.
3. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the App, except where applicable law expressly permits;
- Remove or alter any copyright, trademark, or other proprietary notices in the App;
- Use the App to violate any law, regulation, or third party right;
- Interfere with or disrupt the integrity or performance of the App or its underlying services.
4. Purchases and subscriptions
Some features may require a one-time purchase or subscription. All purchases are processed by Apple or Google and are subject to their payment terms. Refund requests are handled by Apple or Google according to their refund policies. We may from time to time change pricing for new purchases; existing purchases will be honored.
5. Your family content
You retain ownership of the family profiles, chore lists, photo proof, loot balances, and Loot Shop items you create ("Your Content"). Because Your Content is stored on your devices and in your private iCloud account, Ghost Labs does not access, host, or store Your Content on its own servers. You are solely responsible for Your Content and for keeping appropriate backups.
6. Family use and parental responsibility
The App is designed to be set up and managed by a parent or legal guardian for use within their own household. By creating a parent account, you represent that you are at least 18 years old, that you are a parent or guardian of the children whose profiles you create, and that you consent on their behalf to the use of the App as described in these Terms and our Privacy Policy. You are responsible for supervising your household's use of the App, including the content of chores you assign, the photos captured as proof, and the rewards you stock in the Loot Shop. The "loot points" used in the App are an in-app accounting feature only; they have no monetary value, cannot be exchanged for cash, and any real-world rewards you offer in your Loot Shop are entirely between you and your family.
7. Intellectual property
The App, including all software, design, text, graphics, and the Ghost Labs and Tidy Task & Loot names and logos, is owned by Ghost Labs or its licensors and is protected by copyright, trademark, and other laws. These Terms do not grant you any rights in our trademarks or branding.
8. Updates and changes
We may release updates, bug fixes, and new versions of the App. Some updates may be installed automatically by your device. We may also modify or discontinue features at any time, though we will try to give reasonable notice of material changes that affect you.
9. Disclaimer of warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR FREE FROM LOSS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GHOST LABS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID GHOST LABS FOR THE APP IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY US DOLLARS, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify and hold Ghost Labs harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your misuse of the App or violation of these Terms.
12. Termination
You may stop using the App at any time. We may suspend or terminate your access to the App if you materially breach these Terms. Sections that by their nature should survive termination will survive, including license restrictions, ownership, disclaimers, limitations of liability, and dispute resolution.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any competent jurisdiction to protect intellectual property.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and, where appropriate, notify you in the App. Your continued use of the App after the changes take effect constitutes acceptance of the updated Terms.
